These Terms & Conditions (“Agreement”) are entered into by and between you (“User” or “you”) and Beacon Boxx, Inc., a Delaware C-Corporation, with a principal place of business located at 6000 W Rayford Rd., Spring, RX 77380 ("Beacon Boxx," "we," "us," or "our"). By accessing or using the Beacon Boxx mobile application ("App") and related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions, as well as any additional terms and conditions that apply to specific features or services provided by Beacon Boxx.

Beacon Boxx grants you a limited, non-exclusive, non-transferable, and revocable license

to install and use the App on your mobile device solely for personal, non-commercial use

in accordance with this Agreement.

Health Data: Information related to your physical health, such as activity and movement data, active heart rate, SpO2, Heart Rate Variability, Resting Heart Rate, Vo2 Max, Heart Rate Recovery, steps, calories, sleep patterns, and other health metrics.

Location Data: Your location data, including GPS coordinates and other location-based information.

Personal Data: Information such as your name, email address, date of birth, and other contact details.

Device Data: Information related to the device you use to access the App, including device type, operating system version, and usage information.

4.2 Purpose of Data Collection

We collect and use your data for the following purposes:

To provide, personalize, and improve the functionality of the App and Services.

To track and analyze your health data, location data, and device data for the purpose of enhancing your user experience.

To send you notifications, updates, and other communications related to your account and the Services.

To comply with legal obligations and enforce our rights under this Agreement.

By agreeing to these Terms & Conditions and using the App, you acknowledge and consent

to the collection, use, and sharing of your data as described in this Agreement and our

App or by contacting us at help@beaconboxx.com.

4.5 Data Retention

We will retain your personal data only for as long as necessary to fulfill the purposes

outlined in this Agreement and our Privacy Policy, or as required by law. You can delete all

data from the Beacon Boxx application server by deleting your account and selecting,

“Delete All User Data from Beacon Boxx” . We will only retain your health and profile data

until it is no longer reasonably usable; and/or, you delete your account using the in-app

delete account feature.

We will retain your personal data only for as long as necessary to fulfill the purposes

outlined in this Agreement and our Privacy Policy, or as required by law. You can delete all data from the Beacon Boxx application server by deleting your account and selecting, “Delete All User Data from Beacon Boxx” . 4.6 Data Security

We implement reasonable security measures to protect your data from unauthorized

access, disclosure, alteration, and destruction. However, no method of transmission or

storage is 100% secure, and we cannot guarantee the absolute security of your data. Your

data is secured on the Amazon Wed Services (AWS) Cloud. And, as such, that data is

compliant with US regulations for data storage and retention.

We implement reasonable security measures to protect your data from unauthorized access, disclosure, alteration, and destruction. Not use the App for any illegal, unauthorized, or harmful purpose.

You may not:

Distribute or share any content that is harmful, offensive, defamatory, or violates the rights of others.

Attempt to interfere with or disrupt the operation of the App, including through viruses, malware, or other harmful means.

Reverse engineer, decompile, or disassemble the App or any of its components.

Use to diagnose or predict medical conditions that could result in immediate death.

7. Medical Disclaimer

The App and Services are designed to track and monitor your health and activity, but they

are not a substitute for professional medical advice, diagnosis, or treatment. The

information provided by the App is intended for informational purposes only and should not

be relied upon for medical decision-making. You should always consult a healthcare

provider or medical professional if you have any concerns about your health or well-being.

emergency is related to the use of the App. You understand that the App is not designed to

diagnose, treat, or manage medical conditions, and you assume full responsibility for your

health and well-being.

Beacon Boxx, its officers, directors, employees, and affiliates are not liable for any death, injury, or long-term health consequences resulting from a medical emergency or health-related issue, including any failure to receive timely medical attention, whether or not such

emergency is related to the use of the App. You understand that the App is not designed to diagnose, treat, or manage medical conditions, and you assume full responsibility for your health and well-being.

8. Reliance on Wearable Device

The performance and reliability of the App are heavily dependent on the proper use and

functioning of the wearable device(s) (e.g., smartwatch, fitness tracker) connected to the

App. You are responsible for ensuring that the wearable device is properly worn, calibrated,

and functioning. Inaccurate or incomplete data may result from improper use of the device

or technical issues with the wearable device.

We may suspend or terminate your access to the App at our sole discretion, with or without

notice, for any reason, including if you violate any provision of this Agreement.

emergencies or health-related events while using the App, including any death, long-term

injury, or other medical complications.

Entire Agreement: These Terms & Conditions constitute the entire agreement between you and Beacon Boxx with respect to the App and Services.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of this Agreement shall not be deemed

a waiver of that provision or any other provision.
